What happens to the stock when a big company buys a little company?

Posted by admin on March 6th, 2010 and filed under company | 2 Comments »

Does the little company stock swap for big company stock? Does the big company stock go up? I know of a small company rumored to being purchased soon by a big company. Which one should I buy stock in ahead of time?

The shareholders of the smaller company may be offered by the larger company:

1) A certain amount of cash per share (normally higher than the price at which the stock was previously trading at BEFORE the purchase of the company was announced.

OR

2) A certain number of shares in the larger company in exchange for a certain number of shares of the smaller company.

The stock price of the larger company may actually go down some when the deal is announced.

Can i start a advertising company without being pvt ltd & whats the min no of employees in a pvt ltd company?

Is it necessary to register as a Pvt ltd in India to start a advertisement company. i am the sole proprietor and what must be the minimum number of employees for a pvt ltd company must have and also is there some other kind of for profit non public company?

Under the Indian Companied Act a company, whether Public or Private has to register itself with the concerned RoC (Registrar of Companied). If you want to start it without being a pvt ltd, you have 2 options:

1. Register your company as Public Company with minimum 7 members excluding the no. of employees.

OR

2. Start your business as a sole properitorship or partnership firm.

and there is no minimum number of employees imposed by any legislation to start a business, even a company……….. you can start even with 1 employee, if you can………….

Can a UK company sue a US based distributor for selling a Chinese manufactured product that has similarities?

Posted by admin on February 24th, 2010 and filed under company | 1 Comment »

I UK company is threatening action against a US Based distributor for selling a product that may or may not have been reverse engineered in China. Without either company spending roughly $5000 dollars to compare both products there is no way to know.

Can the UK based company sue the US distributor or would they need to take action against the manufacturer based in China?

Well, first off….good luck suing a manufacturer in China. Seriously. Regarding a US distributor I am not sure if you are referring to the US company that supposedly "knocked-off" the UK company’s product or a distributor who distributes the knocked-off product from another US company. If it’s the former, it seems as though a case could be brought pending several scenarios: Is the product patented? Is it trademarked? How "similar" is the US based product? How is it different?

Your question does not contain enough information to answer with any accuracy. You might want to consult your attorney. That is, after all, what they’re there for.

What company can make me business card keychains - like the Blockbuster reward keychains?

Posted by admin on February 22nd, 2010 and filed under company | 2 Comments »

I have a company that I want to advertise, and this is the most logical means of business card. I want a company that can print and die-cut to the shape, size, and weight of a Blockbuster Rewards keychain, or Dominick’s keychain, or what have you.

Many companies do this - do an internet search on "promotional products" and you will find tons to choose from. Prices and minimum orders vary so you should shop around to find the best deal for your situation.

How can I find which company my house is insured under?

Posted by admin on February 20th, 2010 and filed under company | 2 Comments »

My husband recently passed away ans he was the one who took care of a lot of the financial responsiblities. He never mentioned what company our house is insured under. Is there a way to find out?

I looked throughout the house and couldnt find the papers concerning house insurance. Plus, I know we had the basement of the house insured since we had a small commercial business running. But still I can’t seem to find who insured the commercial part of the house either.

A few months before he passed he changed insurance company. But he never even got a chance to tell what company it was since he died abruptly.

What can I do? I already went to the company we dealt with in the past., they are not the one who are currently insuring us.

Please help!
the house not longer mortgaged.

Are there companies that specialize in searching this type of information?

Is your home still mortgaged? If so, your mortgage company would know since it is mandatory to have the home insured if you want to have a mortgage with them.

What company advertised they would buy out your contract?

I moved and my T-Mobile service isn’t very good. They told me to buy a new phone and the new "hot spot" router or pay the $200 early termination fee. I just want a company that has service up here! My dad told me to look for the company that will buy out your old contract but I have no idea where to start.

No one does that. I know that sometimes you can break the contract on a change to your service. Example, verizon added a 40 cent charge to their bill. It stated on the bill that this change would go into affect on a certain date. They are violating the original contract by making this change. Therefore, they had to leave me out of it with no penalties. Do some research and you may be able to find a similar issue with T-Mobile

My company was victimised by a fraudulent accountant and I am not sure what to do?

Posted by admin on February 16th, 2010 and filed under company | 4 Comments »

He is not a qualified accountant to practice the profession. He used my company and did many dodgy things and started a new accounting firm. I am afraid to complain to Inland Revenue as it may put my company in red.

Recently he got some visa problems and leaving this country along with many clients and telling that he can do their accounts from abroad. I don’t know his client list to alert them.

What should I do and whom should I complain and how can I sort my own accounts? Please help me and guide me.

Report him to the Institute of Chartered Accountants as a start it sounds as if he is acting illegally

Can a company set up health benefits without using an insurance agent?

Posted by admin on February 14th, 2010 and filed under company | 2 Comments »

My company would like to offer its employees health benefits but not be registered with a health care agent/company. The company will set up a separate bank account and reimburse employees for medical expenses occurred up to a set amount. Is that possible and/or legal? How would it be expensed to the company? (FYI: the company is a very small business with only 4 employees)

Sure. It’s called self insured. I work for a company for 21 years that did it that way.
